Jesslyn Maurier

In addition to her general business law practice focusing on corporate development and commercial transactions, primarily for technology and media-based businesses, Jesslyn has a corporate governance practice focusing on governance and risk management issues.
Jesslyn’s practice includes representation of start-up, growth and mature businesses, as well as venture capital and private equity sources on all aspects of the law relevant to the life cycle of a technology or media business. Jesslyn advises clients on a wide range of corporate and commercial matters including private financings and mergers and acquisitions, shareholder arrangements, corporation reorganizations, the protection of intellectual property rights, employment issues, domestic and international distribution arrangements, strategic alliances, partnerships, joint ventures and licensing.
As part of her governance practice, Jesslyn advises boards, directors, directors’ committees and management on corporate governance and risk management issues, including the roles and responsibilities of the board, strategic transactions and director protection matters such directors’ duties, indemnities and directors’ and officers’ liability insurance.
Jesslyn is a lead co-author of Directors’ Duties in Canada, 7th Edition, published by LexisNexis in 2021. She is also a participant in the Canadian Venture Capital and Private Equity Association (CVCA), as well as a member of and contributor to the CVCA’s Model Documents Committee.
